Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Taffi mobile application and related services (collectively, the "Service") provided by Taffi Inc. ("Taffi," "we," "us," or "our"). Please read these Terms carefully before using Taffi. By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

To use Taffi, you must:

  1. Be at least 18 years of age
  2. Be a resident of the United States or Canada
  3. Have the legal capacity to enter into a binding agreement
  4. Not be prohibited from using financial services under applicable law (including not appearing on any government sanctions list)
  5. Not have had a previous Taffi account terminated for cause

By creating an account, you represent and warrant that you meet all of the above requirements.

2. Account Registration and Security

2.1 One Account Per Person

You may only create and maintain one Taffi account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.

2.2 Accurate Information

You agree to provide accurate, complete, and current information during registration and to keep your account information up to date. Providing false information is a violation of these Terms and may constitute fraud.

2.3 Account Security

You are responsible for all activity that occurs under your account. You agree to:

  • Enable biometric authentication (Face ID / Touch ID) when prompted as an additional safeguard for payment confirmation
  • Notify Taffi immediately at hello@taffi.me if you suspect unauthorized access
  • Not share your account credentials with any other person

Taffi will not be liable for any loss or damage arising from your failure to maintain account security.

2.4 Identity Verification

You agree to complete any identity verification steps we require, including providing your date of birth, address, and other information needed to comply with applicable law. We may decline to open or may suspend an account if we cannot verify your identity.

3. The Services

3.1 Peer-to-Peer Transfers

Taffi allows you to send and receive USDC (a US dollar-pegged stablecoin) to and from other Taffi users. Transfers are generally irreversible once confirmed. You are solely responsible for ensuring you are sending funds to the correct recipient. Taffi is not responsible for transfers sent to the wrong recipient due to user error.

3.2 Deposits

You may fund your Taffi balance via:

  • Apple Pay / debit card — United States and Canada
  • ACH bank transfer — United States only

Deposits are subject to verification and may be delayed or held for fraud prevention or compliance purposes.

3.3 Withdrawals

You may withdraw funds to a linked bank account via:

  • ACH transfer — United States only

Withdrawal processing times vary by method and financial institution. Taffi does not guarantee specific processing timeframes.

3.4 No Guaranteed Uptime

Taffi provides the Service on an "as available" basis. We do not guarantee uninterrupted access. Scheduled maintenance, network conditions, third-party outages, or circumstances beyond our control may result in temporary unavailability. Taffi will not be liable for losses caused by Service unavailability.

4. Fees

Use of Taffi may be subject to fees, including but not limited to transaction fees, deposit fees, and withdrawal fees. All applicable fees are described in our Fee Schedule, which is incorporated into these Terms by reference. We reserve the right to change our fees upon reasonable notice provided through the App or by email.

5. Prohibited Conduct

You agree that you will not use Taffi to:

  1. Engage in or facilitate money laundering, terrorist financing, or other illegal financial activity
  2. Violate any applicable sanctions administered by OFAC (US), Global Affairs Canada, or any other governmental authority
  3. Conduct fraud or deception of any kind, including sending payments using stolen payment instruments
  4. Make payments on behalf of another person without their authorization
  5. Reverse engineer, hack, or attempt to gain unauthorized access to the App or its infrastructure
  6. Use the Service to purchase or sell illegal goods or services
  7. Engage in any activity intended to manipulate or destabilize the value of any digital asset
  8. Violate any applicable local, state, provincial, federal, or international law or regulation

Taffi reserves the right to investigate suspected violations and to cooperate fully with law enforcement.

6. No Financial Advice

Taffi is a payments tool. Nothing in the App or these Terms constitutes financial, investment, legal, or tax advice. The value of USDC is intended to remain pegged to the US dollar, but Taffi makes no representation or warranty regarding the stability of any digital asset. You are responsible for evaluating whether using Taffi is appropriate for your own financial situation.

7. Intellectual Property

Taffi and its licensors own all right, title, and interest in the App, including all software, designs, trademarks, and content. These Terms do not grant you any ownership rights. You may not copy, modify, distribute, sell, or create derivative works based on the App without our prior written consent.

8. Termination

8.1 Termination by You

You may close your account at any time by contacting hello@taffi.me. Before closing, you must withdraw any remaining balance. Taffi is not responsible for funds remaining in an abandoned account.

8.2 Termination by Taffi

We may suspend or terminate your account, with or without notice, if:

  • You have violated these Terms
  • We are required to do so by law or a regulatory authority
  • Continuing to serve you creates legal, regulatory, or reputational risk to Taffi
  • Your account has been inactive for an extended period (we will provide prior notice in this case)

8.3 Effect of Termination

Sections 5 (Prohibited Conduct), 9 (Dispute Resolution), 10 (Limitation of Liability), and 11 (Governing Law) survive termination of these Terms.

9. Dispute Resolution

9.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact Taffi at hello@taffi.me and attempt to resolve the dispute informally. We will try to resolve most concerns within 30 days.

9.2 Arbitration (US Users)

If you are a US resident, you and Taffi agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except as set forth below. The arbitration will be conducted by a nationally recognized arbitration provider under its applicable rules. Each party will bear its own costs unless the arbitrator determines otherwise.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration.

Opt-Out: You may opt out of this arbitration agreement by notifying us in writing at hello@taffi.me within 30 days of first accepting these Terms.

9.3 Canadian Users

If you are a Canadian resident, disputes will be resolved through binding arbitration administered under the rules of ADR Chambers or a mutually agreed arbitration body, seated in Ontario. Nothing in this section prevents you from filing a complaint with an applicable Canadian regulatory authority.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAFFI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO TAFFI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100 / CAD $135).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Governing Law

These Terms are governed by the laws of Delaware for US users, without regard to conflict of law principles. For Canadian users, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

12. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email at least 14 days before they take effect. Your continued use of Taffi after the effective date constitutes your acceptance. If you do not agree to the revised Terms, you must stop using Taffi and close your account.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable fee schedules, constitute the entire agreement between you and Taffi regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver: Taffi's failure to enforce any provision will not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. Taffi may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Language: These Terms are written in English. For Canadian users, the parties have requested that these Terms and all related documents be written in English. Les parties ont demandé que ces conditions et tous les documents connexes soient rédigés en anglais.
